The reports, analysis, and recommendations generated by this Service are for informational and educational purposes only. They are not a substitute for professional medical advice from a qualified, licensed physician or other healthcare provider.

DO NOT use anything from this Service to make medical decisions, change medications, alter treatment plans, or take any health-related action without first consulting a licensed physician.

Phi Longevity is not a medical service, medical device, clinical practice, or healthcare provider. No physician-patient relationship or clinical duty of care is created by your use of this Service. See Sections 2 and 2A for the full scope of this disclaimer.

1. PARTIES AND ACCEPTANCE

These Terms of Service and End-User License Agreement (“Agreement” or “Terms”) constitute a legally binding contract between you (“User,” “you,” or “your”) and Phi Longevity, Inc. (“Phi Longevity,” “we,” “us,” or “our”), a Delaware corporation operating the health data analysis platform available at philongevity.com and related mobile or desktop applications (collectively, the “Service”).

By accessing or using the Service, you represent that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into this Agreement;
  • You are not barred from receiving services under applicable law; and
  • You have read, understood, and agree to be bound by these Terms.

2. CRITICAL DISCLAIMER — NOT MEDICAL ADVICE

THIS IS THE MOST IMPORTANT SECTION OF THIS AGREEMENT. READ IT.

PHI LONGEVITY IS NOT A MEDICAL SERVICE, MEDICAL DEVICE, HEALTHCARE PROVIDER, OR COVERED ENTITY UNDER THE HEALTH INSURANCE PORTABILITY AND ACCOUNTABILITY ACT (HIPAA).

The Service provides health data analysis and informational reports only. Specifically:

  • The reports, recommendations, insights, scores, and outputs generated by the Service ("Reports") are for informational and educational purposes only.
  • Reports do not constitute medical advice, diagnosis, treatment, or clinical recommendations of any kind.
  • The Service uses artificial intelligence to analyze data you provide; AI systems can produce errors, omissions, and outputs that do not reflect your individual health circumstances.
  • You should not make any medical decision, alter any medication, change any treatment plan, or take any health-related action based solely on Reports generated by this Service.
  • Always consult a qualified, licensed physician or other healthcare professional before making decisions about your health, including decisions based on your lab results.

Phi Longevity expressly disclaims any liability for harm, injury, adverse health outcomes, or any other consequence arising from your reliance on Reports generated by the Service. See Section 15 (Limitation of Liability) for the full scope of this disclaimer.

2A. NO PHYSICIAN-PATIENT OR CLINICAL RELATIONSHIP

USE OF THIS SERVICE DOES NOT CREATE ANY HEALTHCARE PROVIDER RELATIONSHIP OF ANY KIND.

Specifically, and without limitation:

  1. 1.No Physician-Patient Relationship. No physician-patient relationship is created between you and Phi Longevity, or between you and any individual or entity associated with Phi Longevity, by virtue of your use of the Service, your upload of health data, your receipt of Reports, or any other interaction with the Service or its personnel. Phi Longevity does not employ or contract physicians to provide care to users.
  2. 2.No Therapist-Patient or Counseling Relationship. No therapist-patient, counselor-client, psychologist-patient, or similar mental health or behavioral health professional relationship is created by your use of the Service.
  3. 3.No Fiduciary or Clinical Duty of Care. Phi Longevity owes you no clinical duty of care, no fiduciary duty in a healthcare or medical context, and no duty that would be owed by a licensed healthcare provider to a patient. Nothing in this Agreement or the Service creates any such duty.
  4. 4.No Licensed Healthcare Professional Relationship. No relationship of any kind between you and a licensed healthcare professional (including but not limited to physicians, nurses, pharmacists, dietitians, physical therapists, psychologists, or social workers) is created by your use of the Service.
  5. 5.No Obligation to Monitor. Phi Longevity has no obligation to monitor your health, follow up on your data, alert you to health risks identified in your data, or take any action in response to health information you upload. The Service generates Reports based on data you provide; it does not actively monitor your health status.
  6. 6.Acknowledgment. By using the Service, you expressly acknowledge that you understand no healthcare provider relationship has been created, that you are not a patient of Phi Longevity, and that you will seek care from qualified licensed healthcare professionals for all medical decisions.

3. DESCRIPTION OF THE SERVICE

Phi Longevity is a software-as-a-service (SaaS) platform that:

  1. 1.Accepts user-uploaded laboratory results, health records, and related health data;
  2. 2.Processes and analyzes that data using artificial intelligence and machine learning models (currently Google Vertex AI / Gemini, subject to change);
  3. 3.Generates personalized longevity and wellness Reports with evidence-referenced recommendations; and
  4. 4.Provides access to Reports through the platform interface.

The Service is not a laboratory, clinical service, or healthcare facility. We do not perform lab tests, order tests, or interpret results in a clinical capacity.

4. ELIGIBILITY AND ACCOUNT REGISTRATION

4.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older. If you are under 18, you may not use the Service and must immediately cease access.

4.2 Account Creation

To access the Service, you must register an account. You agree to:

  • Provide accurate, current, and complete registration information;
  • Maintain and promptly update your information as needed;
  • Maintain the security of your password and account credentials;
  • Notify us immediately of any unauthorized use of your account at legal@philongevity.com; and
  • Accept responsibility for all activity that occurs under your account.

4.3 One Account Per User

Each account is for a single individual user. You may not share accounts, sell access to your account, or use the Service on behalf of another individual without their explicit consent and a valid account in their name.

4.4 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or that we determine in our sole discretion are being misused.

5. SUBSCRIPTION PLANS, PRICING, AND BILLING

5.1 Subscription Tiers

The Service is offered on a subscription basis. Current pricing tiers are:

Features and pricing are subject to change with notice as described in Section 5.7.

5.2 Free Trial

New users may access the Service under a 7-day free trial for any paid subscription tier. The trial begins on the date you provide a valid payment method and activate your account.

  • No charge is incurred during the trial period, provided you cancel before the trial ends.
  • At the end of the 7-day trial, your chosen subscription will automatically convert to a paid subscription and your payment method will be charged the applicable monthly fee.
  • You may cancel during the trial at any time through your account settings to avoid being charged.
  • Phi Longevity reserves the right to limit free trials to one per person and one per household.

5.3 Recurring Billing

Subscriptions are billed on a monthly recurring basis. Your payment method will be automatically charged each month on or around the anniversary of your subscription start date. By providing a payment method, you authorize Phi Longevity (through Stripe) to charge that method for all subscription fees due.

5.4 Payment Processing

All payments are processed by Stripe, Inc. Your payment information is transmitted directly to and stored by Stripe and is subject to Stripe's Privacy Policy and Terms of Service. Phi Longevity does not store your full credit card number or payment card data on its servers.

5.5 Failed Payments

If a payment fails, we will attempt to notify you by email. Your access to the Service may be suspended until payment is received. After reasonable notice and a cure period, accounts with persistent payment failures may be terminated.

5.6 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@philongevity.com.

  • Cancellation takes effect at the end of the current billing period. You will retain access to the Service through that date.
  • Phi Longevity does not provide refunds for partial months, except where required by applicable law.
  • Cancellation does not automatically delete your account or your data. See Section 9 for data deletion options.

5.7 Price Changes

We may change subscription prices with at least 30 days' advance notice via email and/or notice within the Service. If you do not wish to pay the new price, you may cancel before the change takes effect.

5.8 Taxes

Prices listed do not include taxes. You are responsible for any applicable sales, use, VAT, GST, or other taxes arising from your use of the Service.

6. LICENSE TO USE THE SERVICE

6.1 Grant of License

Subject to your compliance with these Terms and timely payment of applicable fees, Phi Longevity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial health information and wellness purposes.

6.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or transfer any portion of the Service or the technology underlying it;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Service;
  • Use the Service to develop a competing product or service;
  • Use automated scripts, bots, scrapers, or other automated means to access the Service;
  • Use the Service for any commercial purpose, including reselling Reports;
  • Upload data belonging to another person without their explicit written consent;
  • Circumvent, disable, or interfere with security features of the Service;
  • Use the Service in violation of any applicable law or regulation;
  • Upload malicious code, viruses, or any content that could harm the Service or other users.

6.3 Reservation of Rights

Phi Longevity reserves all rights not expressly granted in this Agreement. No implied licenses are granted.

7. INTELLECTUAL PROPERTY

7.1 Phi Longevity Ownership

The Service — including its software, source code, algorithms, AI models, user interface, design, text, graphics, logos, trademarks, and all other components — is owned by Phi Longevity and protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. The “Phi Longevity” name and logo are registered trademarks of Phi Longevity, Inc.

7.2 Your Data — You Own It

You retain full ownership of all data you upload to the Service, including your lab results, health records, and any other personal health information (“Your Data”). We do not claim ownership of Your Data.

7.3 License You Grant Us

By uploading Your Data to the Service, you grant Phi Longevity a limited, non-exclusive, worldwide, royalty-free license to store, process, analyze, and use Your Data solely for the purpose of providing the Service to you. This license terminates when you delete your data or close your account.

We do not sell Your Data to third parties. We do not use your personally identifiable data to train AI models without your separate, explicit consent. (See Section 8.9 for our separate right to use de-identified, aggregated, and anonymized data.)

7.4 Report Ownership

You own the informational content of your Reports. Phi Longevity retains ownership of the Report format, templates, structure, and the underlying methodology used to generate them.

7.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Phi Longevity an irrevocable, perpetual, royalty-free right to use such feedback for any purpose without compensation to you.

8. HEALTH DATA AND PRIVACY

8.1 Health Data Sensitivity

We understand that your health data is among the most sensitive personal information you possess. We treat it accordingly.

8.2 Not a HIPAA Covered Entity

Phi Longevity is not a HIPAA-covered entity. Your data is not protected by HIPAA as a matter of law. However, we voluntarily apply HIPAA-inspired data security and privacy practices to your health data, including our executed Business Associate Agreement with Google Cloud.

8.3 What We Collect

We collect:

  • Account information: name, email address, billing information;
  • Health data you upload: lab results, health records, and related files;
  • Usage data: how you interact with the Service;
  • Device and technical data: IP address, browser type, operating system;
  • Communications: support requests, feedback you send us.

8.4 How We Use Your Data

We use your data to provide and improve the Service; generate your Reports; process payments; send account-related communications; comply with legal obligations; and detect and prevent fraud and abuse.

8.5 Third-Party Service Providers

We share data with trusted third-party processors only as necessary to operate the Service, including Google Cloud/Firebase, Stripe, and email service providers. All processors are contractually bound to use your data only as directed by Phi Longevity.

8.6 We Do Not Sell Your Data

We do not sell, rent, or trade your personal health data to third parties for their own commercial purposes.

8.7 Data Retention

We retain your data for as long as your account is active and for a reasonable period thereafter for backup and legal purposes.

8.8 Privacy Policy

Our full Privacy Policy is available at philongevity.com/privacy.

8.9 Anonymized and Aggregated Data

8.9.1 Grant of Right. By using the Service, you grant Phi Longevity a perpetual, irrevocable, worldwide, royalty-free right to use, process, analyze, and share data derived from Your Data in de-identified, aggregated, and anonymized form (“Anonymized Data”) for Service improvement, AI model training, research, and publication of aggregate insights.

8.9.2 Anonymization Requirements. Phi Longevity will only exercise these rights subject to the following conditions: (a) No Personally Identifiable Information (PII) will be included; (b) Your Data will be anonymized before use; (c) Phi Longevity will not attempt to re-identify any Anonymized Data; (d) Any published aggregate data will be presented at sufficient aggregation such that no individual user can be identified.

8.9.3 Survival of Right. The rights granted in this Section 8.9 survive account deletion and termination of this Agreement. Once Your Data has been anonymized and incorporated into aggregate datasets, it cannot be retroactively removed from those datasets.

8.9.4 No Sale of Anonymized Data. We do not sell Anonymized Data to third parties as a standalone product or commercial offering.

9. YOUR DATA RIGHTS

You have the following rights with respect to your data:

  • Access: Request a copy of the personal data we hold about you.
  • Correction: Request that we correct inaccurate data.
  • Deletion: Request that we delete your account and associated data within 30 days, subject to our legal retention obligations and Section 8.9.3.
  • Portability: Request your data in a machine-readable format.
  • Opt-out of marketing: Unsubscribe from marketing communications at any time.

To exercise these rights, contact us at privacy@philongevity.com. California residents have additional rights under the CCPA, as described in our Privacy Policy.

10. ACCEPTABLE USE

You agree not to use the Service to:

  • Upload false, fraudulent, or misleading health data;
  • Impersonate any person or entity;
  • Violate any applicable local, state, federal, or international law;
  • Attempt to gain unauthorized access to any part of the Service;
  • Interfere with the integrity or performance of the Service;
  • Harass, abuse, or harm another person;
  • Upload content that infringes the intellectual property rights of any third party.

11. THIRD-PARTY SERVICES AND LINKS

The Service may contain links to or integrations with third-party websites, services, or products. These links are provided for convenience only. Phi Longevity does not endorse and is not responsible for any third-party content, privacy practices, or terms of service.

12. MODIFICATIONS TO THE SERVICE

Phi Longevity reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time; perform maintenance or upgrades; and change the AI models or processing methods used to generate Reports. We will provide reasonable advance notice of material changes where practicable.

13. MODIFICATIONS TO THESE TERMS

We may update these Terms from time to time. When we make material changes, we will post the updated Terms at philongevity.com/terms, update the “Last Updated” date, and notify you via email at least 14 days before material changes take effect.

Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

14. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PHI LONGEVITY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY REPORTS; AND WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS. PHI LONGEVITY DOES NOT WARRANT THAT THE AI-GENERATED REPORTS ARE ACCURATE, CLINICALLY VALIDATED, OR SUITABLE FOR ANY MEDICAL PURPOSE.

15. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PHI LONGEVITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; LOST PROFITS, LOST REVENUE, LOSS OF DATA; PERSONAL INJURY OR PROPERTY DAMAGE; DAMAGES ARISING FROM YOUR RELIANCE ON ANY REPORT; OR DAMAGES ARISING FROM YOUR FAILURE TO SEEK APPROPRIATE MEDICAL CARE — REGARDLESS OF THE THEORY OF LIABILITY.

PHI LONGEVITY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF: THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT, OR $100 USD.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Phi Longevity, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your Data, your violation of any law, or any misrepresentation you make in connection with the Service.

17. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

17.1 Informal Resolution First

Before initiating formal proceedings, you agree to contact us at legal@philongevity.com and attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving written notice.

17.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, or by telephone or video conference if mutually agreed.

17.3 Exceptions to Arbitration

The following disputes are excluded from arbitration: small claims court matters within applicable jurisdictional limits; claims for injunctive or equitable relief to protect intellectual property rights; emergency injunctive relief where a party can demonstrate irreparable harm.

17.4 Class Action Waiver

YOU AND PHI LONGEVITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

17.5 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND PHI LONGEVITY WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING UNDER THESE TERMS.

18. GOVERNING LAW AND VENUE

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts located in New Castle County, Delaware.

19. EXPORT CONTROLS

The Service is based in the United States. You represent that you are not located in, and will not use the Service from, a country subject to U.S. trade embargoes or sanctions.

20. ELECTRONIC COMMUNICATIONS

By using the Service, you consent to receive electronic communications from us, including emails, in-app notifications, and account notices. Electronic communications satisfy any legal requirement that communications be in writing.

21. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms presented at subscription checkout, constitute the entire agreement between you and Phi Longevity regarding the Service and supersede all prior agreements, representations, and understandings.

22. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

23. WAIVER

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision for the future.

24. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Phi Longevity may assign these Terms or its rights hereunder without restriction, including in connection with a merger, acquisition, or sale of assets.

25. FORCE MAJEURE

Phi Longevity is not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, internet outages, or government actions.
